1. Buying on toparredi.com, general notes

The products purchased on the portal toparredi.com are sold directly by the company A & D Srl, registered at the register of companies of Treviso - Belluno on 18/04/2012 with VAT 04524990266 and registered office in Via Parrilla 7, Conegliano 31015 (TV), Italy. Operative headquarters in via dei Fracassi 2/c, Francenigo 31018 (TV), Italy.

It should be noted that A & D S.r.l. holds the ownership of the brand TopArredi and its website toparredi.com and that hereafter will be used indistinctly the names A & D S.r.l. and TopArredi to indicate the Seller.

These Terms and Conditions are governed by the Consumer Code pursuant to Legislative Decree no. 206/2005 and the rules on electronic commerce (Legislative Decree no. 70/2003).

By placing a purchase order (in accordance with the different modalities indicated below), the buyer agrees to comply with all the General Conditions of Sale described on this page and available on the site toparredi.com.

In case of changes in the general conditions at the time of the purchase order, the conditions published on the site at the time the order is sent by the Customer will apply.

The Customer must send any communication or complaint direct to the Seller and regarding the sale at the following addresses: assistenza@toparredi.com

The staff of TopArredi constantly strives to update the information presented. However, given the considerable size of the contents developed, inaccuracies may occur. It is our daily commitment to work for greater precision and thoroughness, but it is also the responsibility of the Customer to make sure of the conditions considered essential for his/her satisfaction and necessary to proceed with the purchase.

If you do not agree with any of the terms in the General Conditions of Sale, we invite you not to forward the order and to contact the staff of A&D S.r.l. for any clarification.

2. Purchase procedure

The purchase contract can be concluded in the following ways:
- The Customer can place the order directly through the e-commerce toparredi.com by clicking on the ‘Place Order’ button.
- The Customer may request the assistance of an operator of TopArredi for the compilation and sending of the order.
- At the Customer's request, an estimate may be sent by e-mail (to the address indicated) with the specifications of the product and/or service requested. In order for the estimate received by e-mail to be considered confirmed, it is essential to obtain written confirmation through a reply to the e-mail itself.
- The Customer has the option of going to TopArredi headquarters to receive an estimate, which must be signed in order to be considered confirmed.
By placing the order in the manner mentioned above, the Customer automatically declares to have read all the information provided during the purchase process and to fully accept the General Conditions of Sale.

The contract shall be deemed concluded at the time of receipt by TopArredi of the order placed by the Customer, who will consequently be bound to pay the relevant price in the terms chosen. TopArredi will acknowledge receipt of the order and the relevant payment by sending an order receipt via email to the email address provided by the Customer. This receipt shall summarise the products and services selected, the relevant prices, including delivery charges and any additional charges for services requested by the Customer, the Customer's personal data, delivery address and order number.

For each order received, in the manner indicated in Section 2.A, the Customer is responsible for carefully checking the details of the order and for promptly communicating any inaccuracies by writing to assistenza@toparredi.com. It is essential that the Customer carefully examines the order before proceeding with the purchase. These checks are essential to ensure that the configuration details of the ordered items correspond to the Customer's specific living requirements.

In the event that a Customer concludes several purchase contracts in successive periods, whose fulfilment overlaps, the different orders are handled as a single delivery. This implies that:
- it is possible that TopArredi provides for the amalgamation of the different parts of the supply in order to organise a single delivery (unless non-uniform delivery services have been purchased).
- failure to comply with the contractual terms of one part of the supply may result in failure to make progress in the execution of other parts of the supply.
- in the event of a delay in the production of a part of the supply, TopArredi undertakes not to postpone the execution of other parts of the supply that have been produced on time (unless a single delivery has been scheduled at the time of closing of contracts subsequent to the first).

TopArredi makes daily efforts to keep its online catalogue up-to-date. Due to the vast assortment of articles and collections offered, it may occasionally occur that a specific option is no longer available. In such situations, TopArredi shall promptly notify the Customer, offering the possibility of making changes to the order or requesting a refund of the amount paid. In the case of supplies consisting of several products, the possible non-availability of an item implies the refund of the amount paid for that item.

The tiered navigation, represented by the assortment selection tool present in each product category, must be considered as a support aimed at facilitating the choice between the available options and the selection of the desired article. The wording or characteristics indicated by these filters may not correspond exactly to the specifications of the article.

TopArredi's products are made-to-measure and customised. The graphic representations of the products on the toparredi.com website (through, for example, photographs, graphic signs, videos, etc.) correspond to a standard product of the same type or packaging. These representations have the sole illustrative purpose of presenting the products for sale online, without any guarantee or commitment on the part of the Seller about the exact correspondence of the image represented on the site with the products delivered to the Customer. In the event of differences between the graphic representations and the textual description of the products, the textual description given in the order form shall prevail.

All manufacturers and suppliers associated with A&D S.r.l. constantly strive to improve the products offered. They therefore reserve the right to make technical and dimensional changes without prior notice, provided that these changes do not significantly affect the aesthetic content of the products and their use/ergonomics. As far as upholstered products are concerned, it is necessary to consider the possibility of dimensional variations, including a margin for both defects and excesses. These variations may result from different measuring points and, to some extent, also from craftsmanship in the upholstery. Any differences deemed to be ‘a few centimetres’ are considered to be within the industry norm.

TopArredi reserves the right to make changes to the names of certain products or their parts in order to comply with any agreements with the manufacturers. In some cases, on products presented without the publication of the manufacturer's brand name, product labels may be applied with names that differ from those published on TopArredi. It is important to emphasise that these variations cannot be considered as grounds for contractual termination due to ‘non-conformity’, since the ‘product name’ cannot be considered a fundamental element of the value offered to the consumer by the product itself.

3. Changes to the order

Any request for changes to orders concluded by the Customer shall be assessed on a case-by-case basis and, where possible, shall be authorised by the TopArredi staff. Unilateral changes are excluded.

The technical feasibility of changes is dependent on the progress of the order and may entail additional costs for the Customer.

In the event that the change request is technically feasible, the price of the products and related services shall be recalculated according to the prices in force at the time of the change.

In the event that the change request is technically feasible, the following shall apply:
- The operational details and any tariff relating to the order change will be communicated by e-mail.
- Changing the shipping details may result in different delivery costs, which will be quantified according to the rates in force at the time of the change.
- The Delivery times shall run from the date of the update and/or change to the contract and thus from the date of assignment of the new order number.

In the event that the change request is authorised, the following provisions apply:
- Operational details and any tariff relating to the order change will be communicated by email.
- Changing the shipping details may result in different logistics costs, which will be quantified according to the rates in force at the time of the change.
- The Delivery time starts on the date the contract is updated and thus on the date the new order number is assigned.

Any refunds will be made using the same payment method selected at the time of the order (PayPal, Credit Card or Bank Transfer). The currency used for the refund will always be the Euro, even in the case of transactions in a different currency. The amount reimbursed by TopArredi (or the amount corresponding to the part of the order that may have been deducted) shall be credited net of bank charges in the case of reimbursement by bank transfer and net of commissions in the case of reimbursement by Credit Card.

4. Prices and payment methods

Payment of the order shall be made at the time the order is placed or in the various times and ways agreed upon in writing between the parties.

Payment for products and/or services can be made by Bank Transfer, PayPal or Credit Card.

TopArredi reserves the right to change the price of products on the site toparredi.com at any time.

The price of the products purchased by the Customer is that calculated at the time of the order summary, without any consideration of increases or decreases in price, even for promotions, which may have occurred after the submission of the order or terminated previously of the same, and except errors in the indication of the same.

If, due to unforeseeable inconveniences or technical failures beyond the Seller's control, the price indicated on the website should be manifestly lower than the price actually applied to the goods offered, the Seller shall contact the Customer without delay, who may choose whether to pay the difference in price and receive delivery of the goods or to obtain immediate cancellation of the order, with subsequent refund of the price paid. In the case of orders containing several articles, the purchase of the product subject to change will be cancelled and the corresponding refund will be made.

All prices displayed on the site toparredi.com are inclusive of VAT. The value of the rate is automatically calculated by the system according to the regulations in force and the selected shipping country. In case the country of destination of the purchased product and/or service is outside the European Union, the VAT rate is excluded from the displayed price.

5. Shipping and delivery

TopArredi delivers its products throughout Italy and abroad.

The items ordered will be shipped to the domicile indicated by the Customer, who will be able to choose from a number of delivery service options. These options include Street Level Deliveries, Home Deliveries, Assembly and Warehouse pickup, which are intended to detail the business procedures associated with Customer Service. These procedures constitute an integral element of the General Terms and Conditions of Sale. Please note that delivery methods may vary according to the country of destination of the products and may incur additional costs depending on the service selected.

Shipping costs and surcharges for reaching the delivery address specified by the Customer by appropriate means may be calculated and communicated at different times:
- If the Customer contacts us prior to purchase, communicating the possibility of being in a special location, the possible surcharge is estimated by Customer Service. The check may confirm the applicability of the supplement or indicate that it is not necessary.
- If the Customer does not contact us prior to purchase, the address is verified at the conclusion of the contract (after payment of the balance), and any supplement is communicated to the Customer by TopArredi staff. Orders in production cannot be cancelled. If an order already in production includes a surcharge for a special location, the options available to the Customer are to pay the surcharge or indicate a different address outside the special location.

Deliveries that mandatorily require the use of a vehicle with a length of less than 12 metres will incur an additional charge. Additional surcharges may apply in the event that the delivery address specified by the Customer during the order is located in pedestrian areas, construction site areas or smaller islands. In all these scenarios requiring the use of a van or special delivery vehicle, an additional charge will apply. For a detailed understanding of all possible situations, the Shipping section - included in the General Terms and Conditions of Sale - provides comprehensive and clear information.

The shipment of the supply will only be started once the amount has been paid in full. Once the supply is available, TopArredi will send a communication to the Customer by e-mail, requesting the availability to receive the goods. It is essential that the Customer authorises shipment within 15 days of receipt of the aforesaid e-mail. In the event of no reply or communication of delayed availability, the Customer shall be subject to charges for storage costs, calculated at € 2.50 per day per cubic metre rounded up to the next higher ‘half cubic metre’. It is emphasised that orders with a ‘Warehouse pickup’ option must be collected within 15 days of receipt of the aforementioned e-mail request.

TopArredi is legally responsible for the goods until the moment of delivery. From the moment of delivery, attested by signing the delivery document in paper or digital format, legal responsibility for the condition of the goods passes to the Customer. This transfer of legal responsibility also takes place if the delivery requires completions or replacements.

At the time of delivery, the presence of the Customer or of a trusted person is required to check that the packaging is intact and that the products received correspond to what is stated on the transport document; in the event of visible defects, e.g. wrong quantity, wrong product, non-integrity of the packaging, the Customer is asked to report these anomalies on the carrier's CMR to enable the Seller to proceed to assess and manage the report received and to subsequently contact the Customer. The procedure is set out in detail in the section on the Procedure for receipt of goods, which forms an integral part of these General Terms and Conditions of Sale.

It shall be the Customer's responsibility to provide all information necessary for the execution of the service, as well as to verify that the information in the order is correct and complete. Should it not be possible to execute the delivery due to incorrect and/or incomplete information, TopArredi shall charge the Customer the amount to be paid for the execution of the services.

Products shall be collected from the warehouse using suitable means in compliance with the regulations in force. It is the Customer's responsibility to ensure that the means used are suitable to guarantee safe collection without damage to the products.

The products are subject to applicable customs and export control laws and regulations and must therefore be purchased, exported and used in accordance with these regulations. For collections at the warehouse intended for export to countries outside the European Union (non-EU), TopArredi requires the payment of Italian Value Added Tax (VAT). This amount will be charged to the Customer as part of the costs associated with the export. Once the Customer has successfully collected the products and has sent TopArredi a copy of the customs bill relating to the export, which certifies the correct destination of the goods outside the European Union, TopArredi will proceed to refund the amount of VAT previously charged to the Customer. This refund process is subject to the receipt and verification of the required documentation, guaranteeing transparent management and compliance with the laws in force.

6. Delivery time

When placing the order, the estimated delivery date will be indicated. This date is purely indicative, non-binding and does not constitute an essential deadline for the parties, so no responsibility can be attributed to TopArredi in case of non-compliance.

The Seller, in any case, undertakes to promptly inform the Customer of any delays or impediments by sending a communication to the Customer by e-mail.

Delivery times represent the sum of production times and shipping times. Estimated production times are forecasts based on statistics of previous orders for the same type of product. Each individual product sheet indicates the production time required for the product in question, which in most cases is between 4 and 8 weeks. Shipping times vary according to destination and are specified in the Shipping section.

In the case of orders containing several products that are not complementary or belong to different collections, the possible termination for the delay may only concern the products subject to the delay.

TopArredi works constantly to respect the punctuality of the times indicated, even trying to anticipate them. We invite you to consult the product sheets and the Delivery times section for information on average availability times, and if necessary to contact Customer Service before purchase if the timing for receipt of goods is decisive for the decision to purchase.

Please also note that productions and deliveries planned before the Christmas or summer holidays may be subject to significant delays due to the particular conditions of the period. Even a slight unforeseen delay before a closure period, such as the Christmas holidays or the August closure, could result in delivery after the January and September reopenings.

The estimated times do not include service interruptions caused by weather events (snowfalls, hurricanes, tornadoes, cyclones, storm surges, typhoons), natural events (floods, landslides, avalanches, earthquakes), health events (national health emergencies, pandemics) or other exceptional events of a human nature (strikes, demonstrations, riots, civil war, curfew status). Service interruptions caused by such events shall interrupt the delivery terms described in this paragraph.

In any case, any delays shall not be considered by the Customer for claims for damages nor shall they constitute a source of any contractual or extra-contractual liability.

7. Right of withdrawal

If the Customer is a Consumer, as defined in Article 3 of the Consumer Code, he/she has the right to withdraw - pursuant to Article 52 et seq. of the Consumer Code - freely from the distance or off-premises contract, even partially, without the need to provide any explanation, by notifying the Seller, under penalty of forfeiture within 14 (fourteen) days.

Withdrawal shall be communicated by letter sent by registered mail with return receipt or by PEC or by ordinary e-mail to the address assistenza@toparredi.com to be followed by confirmation of receipt by the Seller.

The communication shall contain the Customer's express declaration of withdrawal from the purchase and the product or service for which the right of withdrawal is to be exercised, specifying the order number.

The products must be returned within 14 (fourteen) days from the date the notice of withdrawal is sent to the Seller.

Before returning the goods, the Customer must check that the product subject to withdrawal is intact, in a normal state of preservation, in its original packaging, and complete with all its parts. The Seller prescribes the adoption of every possible caution when returning the products to the Seller, using the original packaging of the goods, or an equivalent suitable to preserve their integrity.

The cost of returning the goods shall be borne by the Customer.

If the right of withdrawal has been properly exercised TopArredi will refund the Customer the full amount paid for the purchase, with the exception of additional costs such as costs for delivery other than the cheapest type offered by TopArredi, within 14 days from the date on which he became aware of the exercise of the right of withdrawal by the Customer, provided that the goods returned by the buyer are received, pursuant to art. 56 of the Consumer Code the Seller may withhold the refund until receipt.

The Customer shall be liable for any decrease in the value of the returned product resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the product.

The Customer's right of withdrawal is excluded in the cases indicated in Article 59 of the Consumer Code, including if the products are:
- made to measure and/or clearly customised;
- are liable to deteriorate or expire rapidly;
- are sealed goods that, opened after delivery, are not suitable to be returned for hygienic or health protection reasons;
- after delivery, by their nature, inseparably mixed with other goods;
- sealed audiovisual products or computer software that have been opened by the Customer.

Given the high degree of customisation of our collections and the production processes mainly made to order by our suppliers, the right of withdrawal is not applicable for almost all the products in our catalogue pursuant to Art. 59 of Legislative Decree 206/2005 as they are made to measure and/or clearly customised (e.g. by the Customer's choice of finish, colour, size, fabric, etc.) and as they are ‘non-prefabricated goods produced according to an individual choice or decision by the Consumer ’ (Art. 2 of Directive 2011/83/EU).

Please see the Right of withdrawal page for more details. This page has been created with the aim of precisely outlining the procedure to be followed to exercise the right of withdrawal and must be considered an integral part of the aforementioned General Terms and Conditions of Sale.

8. After-sales services

The Customer may receive assistance by contacting Customer Service at assistenza@toparredi.com.

In the interest of the Customer, should any type of problem occur in relation to the products supplied, TopArredi's Customer Service constantly endeavours to determine the precise responsibilities of the various players involved in the chain from production of the goods in the factory to delivery. The Customer, depending on the delivery service purchased, may receive the supply, carry out floor handling and assembly (possibly delegating these stages to third parties). During the unloading of the supply at the delivery address, assembly and the moments immediately following the completion of assembly, the Customer is obliged to carefully follow the Procedure for Receipt of Goods. Observance of the procedure enables the Customer to receive maximum support from our Customer Service and to be fully protected against possible production defects or transport damage. Although these cases are not frequent, we understand that they are not impossible, and our priority is to ensure maximum support and protection for the Customer in these circumstances.

In the event that a Customer does not observe the steps indicated in the Procedure for Receipt of Goods, TopArredi will be exonerated from any liability and, therefore, the Customer may be called upon to incur costs, e.g. replacement, repair, etc. In any case, TopArredi acts with the aim of guaranteeing Customer satisfaction, while reserving specific assessment for each case in order to effectively protect Customers, ensuring that any problems are handled with the utmost care and responsibility.

The replacement of defective articles, damaged in transit or possibly missing (or of ‘parts of articles’ when the anomaly involves only a few components) requires almost the same amount of time, or sometimes less, than production time, since these are mainly products made to order and follow the same delivery methods specified in the order. The replacement procedure is initiated once the dispute has been ascertained or upon receipt of the photographic documentation provided by the Customer, which must be sent immediately after delivery. TopArredi shall in any case undertake to handle the replacement procedure with the utmost speed in order to reduce waiting times for the Customer to a minimum.

The responsibility for cleaning the delivered goods lies entirely with the Customer. Although with a very low probability, the presence of processing residues on some surfaces may occur. Even in this case, it is the Customer's responsibility to proceed with the cleaning of such surfaces, and TopArredi, upon the Customer's indication, undertakes to provide the best indications on how to clean them. In some cases, a specific cleaning product may also be offered, provided it is not a commonly used product.

In the process of checking and analysing any ‘finish anomalies’, it is important to understand the concept of ‘reasonable tolerance’. This practice is characteristic of highly customised and made-to-order goods, defining a threshold within which certain finishing irregularities can be considered ‘tolerable’ and should not be considered as ‘defects’. This means that they do not entail the free replacement of the good or part concerned. A finishing irregularity may be considered acceptable within the ‘reasonable tolerance’ only when:
- It does not affect the use of the good.
- Is not visible during normal use of the asset but requires careful surface analysis, often requiring photo/video tools to detect it. This may depend on the size of the anomaly, its position, its colour in relation to the surrounding surface and its possible ‘frequency of repetition’. To further clarify, some (non-exhaustive) examples include: a cosmetic anomaly is not considered a ‘defect’ if it is not visible to the naked eye but only through photo/video tools, if it cannot be represented through such tools, or if it is located behind or underneath the visible surfaces of the good, remaining invisible once assembly is complete.

In cases of replacement of a product, TopArredi shall inform the Customer of the possible return of the parts to be replaced. If the Customer does not request the return, it is the Customer's responsibility to dispose of the parts properly. If the Customer arranges the return, it is his responsibility to carefully pack the parts in their original packaging to avoid damage. In this case, TopArredi shall provide by e-mail labels to be printed and applied to each package to be returned. The optional services of Home delivery and Assembly are considered ‘one-way’ and refer exclusively to the delivery of the products ordered. Possible returns and replacements do not include these services, but instead involve Street delivery or require the purchase of a new service if necessary.

If during the exercise of the optional services of Home delivery or Assembly any anomalies are found to the Customer's goods, whether movable or immovable, and the Customer suspects that such anomalies are attributable to the handling personnel, the Customer is requested to follow the following procedure:
- Immediately report the anomaly found to the operators, at the same time as they pass by or at the latest within the immediately following seconds.
- Write on the CMR (carrier's delivery note) the wording ‘Damage found to ...’, adding a brief description of the anomaly and requesting the specific seal of acceptance by an operator present.
- Send pictures of the anomaly found by e-mail to assistenza@toparredi.com within 24 hours of delivery.
- Send an estimate for rectifying the anomaly within 30 days of delivery.
- Send a fault repair invoice within 60 days after delivery. Estimate and invoice must be in the name of the Customer and issued by a specialised company or professional.

Each point of this procedure may be activated only and exclusively in the event of compliance with the preceding points, otherwise all liability for the assets of third parties shall be disclaimed.

9. Warranty

The Vendor is liable to the Customer-Consumer, pursuant to articles 128 et seq. of the Consumer Code, for any conformity defects that exist at the time of delivery of the products and that become apparent within twenty-four (24) months of delivery of the same.

The Consumer forfeits the right to make use of the conformity guarantee if he does not report the conformity defect to the Seller within the term of two (2) months from the date he discovered the defect.

Excluded from the scope of this legal guarantee are malfunctions or defects caused by accidental events or by the Customer's liability, or by use of the product that does not comply with its intended use or with what is set forth in the technical documentation attached to the product.

In the event of an ascertained conformity defect, if promptly reported, the Customer shall be entitled to have the conformity of the product restored, free of charge, by repair or replacement, unless the remedy requested is objectively impossible or excessively onerous compared to the other. The remedy shall be deemed ‘excessively onerous’ when it requires the Seller to incur unreasonable expenses in relation to the alternatives, taking into account the value that the product would have if there were no ascertained conformity defect, the extent of such defect, the possibility that the remedy can be effected without significant inconvenience to the Customer.

The Customer may request, at his choice, an appropriate price reduction or termination of the contract if one of the following situations occurs:

For purchases made by the Customer-Professionals - persons with a VAT registration number and companies - the legal guarantee provided for by the Civil Code shall apply for a maximum period of twelve (12) months following notification within the time limit of eight days from discovery of the defect.

Each guarantee only covers conformity defects and does not extend to damage caused by normal wear and tear, improper use or unauthorised intervention.

In order to make use of the guarantee, the Customer shall in any case present the relevant purchase invoice to the Seller.

In case of replacement or repair of a product, the Customer shall carefully pack the parts to be returned to prevent damage. The costs relating to the repair, including materials and labour, as well as the shipping costs for the return of the product to the Customer, shall be borne by TopArredi.

For household appliances, assistance under warranty is managed directly by the manufacturer through its Customer Service, both in Italy and abroad. For any technical assistance needs or requests for information relating to the warranty, please contact directly the Customer Service of the manufacturer indicated in the documentation supplied with the product.

10. Applicable Law and Jurisdiction. Dispute Resolution

The contract of sale between the Customer and TopArredi-A&D S.r.l. is concluded in Italy and is governed by Italian law.

The Consumer may also access the European online dispute resolution (ODR) platform at the following link https://ec.europa.eu/consumers/odr/

Disputes with NON-Consumer Customers (Professionals) are under the exclusive jurisdiction of the Court of Treviso.

11. Processing of personal data

The Seller shall proceed to process the user's personal data in compliance with current privacy legislation, including Reg. 679/2016 (so-called GDPR), as better specified in the section published in the Privacy policy on the site.

This notice concerns the processing of personal data in accordance with Article 13 of Legislative Decree 196/03 (Privacy Code) for users of our site. Please note that this policy does not apply to other websites that may be accessible through our links, on which A&D S.r.l. has no responsibility.

The owner of the processing of personal data, relating to persons identified or identifiable after consulting our site, is A & D S.r.l. with registered office in Via Parrilla 7, Conegliano, 31015 (TV). The processing related to the web services of this site takes place at A&D S.r.l., with the care of the content entrusted to employees of the company. No data from the web service is communicated or disclosed to third parties.

The personal data provided by users who send requests for services are used exclusively to perform the service or provision requested and are not disclosed to third parties, unless disclosure is required by law or is strictly necessary for the fulfillment of requests. 12. Cookie policy

We do not use cookies to transmit information of a personal nature, nor are used so-called ‘persistent cookies’ of any kind, or systems for tracking users. On toparredi.com are used exclusively technical cookies, including those of traffic analysis services, for which according to the legislation no notification to the customer is not required because their purpose is exclusively the proper functioning of the site.
